Is the TSA termination date the same as Day 1?
There was a comment I came across on LinkedIn last week where another practitioner highlighted that most of the tech integration work was broken up into two phases: pre-TSA and post-TSA work. They were highlighting the fact that all of the planning work was centered around getting everything conveyed prior to the end of the TSA treating that as the day 1 deadline and everything afterwards as day 2.
From the poster’s perspective, it makes sense. They’re brought in only to work on the migration of the custom apps that would be subject to the TSA.
The thing to keep in mind is that day 1 has a specific meaning of when the business is officially transitioned over: when the new organization, post M&A, reports combined sales and financial numbers. When they have “hired” over the employees. Or when the new company is “in business.”
A TSA may officially terminate at the same time, but not necessarily. Think of the additional support required for the conveyed applications or the back links to the parent company to maintain their functionality. These are cases where the TSA would remain in effect after day 1.
